PRIVACY POLICY

GENERAL

LabSymplified, Inc. ("we," "us," "our," or "LabSymplified") is committed to safeguarding the privacy of its users. This Privacy Policy ("Privacy Policy") describes what information we collect when you visit our Sites or use our Services, how we use that information, with whom we share it, and the choices you have regarding our use of your information.

Please read this Privacy Policy carefully. By accessing or using our Sites or Services, you agree to the terms of this Privacy Policy. If you do not agree to these terms, you must not access or use the Sites or Services.

APPLICABILITY

This Privacy Policy applies to personal information collected by LabSymplified through our websites, subdomains (the "Sites"), and LabSymplified services (the "Services"), subject to the following exclusions:

  • It does not apply to Personal Health Information ("PHI"), which is governed by the terms of a separate Business Associate Agreement ("BAA") between you and LabSymplified. PHI includes, without limitation, all information that relates to the past, present, or future physical or mental health or condition of an individual that identifies the individual or could reasonably be used to identify the individual.
  • It does not apply to third-party websites linked to or from our Sites.
  • If you are a customer of LabSymplified, your use of the Services is also subject to the LabSymplified Service Terms and Conditions.

COLLECTION OF YOUR PERSONAL INFORMATION

Information You Provide Directly

When you sign up for a free trial, request information, or contact us, we may collect:

  • First and last name
  • Company name
  • Department, job title, and role
  • Country of operation
  • Phone number
  • Email address
  • Current systems and services in use

For Blood Center Customers using the Minor Donor Registration feature, we collect limited information about prospective Minor Donors (ages 16–17) solely on behalf of and under the instructions of the applicable Blood Center Customer, who is the data controller for that information. The information collected is limited to: the minor's first and last name; date of birth; and the name and email address of the parent or legal guardian. We do not collect health, medical, or blood donation screening data from Minor Donors through this feature. Blood Center Customers are responsible for their own privacy notices covering Minor Donor Data.

Information Collected Automatically

When you use our Sites, we automatically collect certain information, including:

  • Internet Protocol (IP) address
  • Browser type and version
  • Operating system
  • Device identifiers
  • Pages visited, time spent on pages, and clickstream data
  • Referring URLs (the website you came from before visiting ours)
  • Date and time of your visit

This information is used to monitor system usage, improve system design, create benchmarks, conduct trending analyses, and for security purposes.

Cookies and Similar Tracking Technologies

We use cookies, web beacons, pixel tags, and similar tracking technologies to collect information about your interactions with our Sites. These technologies help us remember your preferences and settings, understand how you use our Sites, deliver relevant advertising and content, and detect security threats and prevent fraud.

Types of cookies we use:

  • Strictly Necessary Cookies: Required for the Sites to function. They cannot be disabled.
  • Performance/Analytics Cookies: Help us understand how visitors interact with our Sites (e.g., Google Analytics).
  • Functional Cookies: Enable enhanced functionality and personalization.
  • Targeting/Advertising Cookies: Used to deliver relevant advertisements. These may be set by our advertising partners.

You can control cookies through your browser settings. Please note that disabling certain cookies may affect the functionality of our Sites. We do not currently respond to browser-based "Do Not Track" signals, but we do honor Global Privacy Control (GPC) signals where required by applicable law.

USE OF YOUR PERSONAL INFORMATION

We use the information we collect for the following purposes:

  • Providing, maintaining, and improving our Sites and Services
  • Processing and fulfilling your requests and transactions
  • Communicating with you about your account, our Services, product updates, and support
  • Sending promotional communications, newsletters, and tailored offers (you may opt out at any time)
  • Monitoring system usage, server and software performance
  • Conducting analytics and creating benchmarks to improve our Services
  • Detecting, investigating, and preventing fraudulent or illegal activities and security threats
  • Complying with applicable laws, regulations, court orders, subpoenas, and legal process
  • Facilitating corporate transactions such as mergers, acquisitions, or sales of assets (with appropriate safeguards)
  • Training and improving our AI and machine learning models (see the Artificial Intelligence and Machine Learning section below)

LEGAL BASIS FOR PROCESSING (EEA/UK USERS)

If you are located in the European Economic Area (EEA) or United Kingdom, we process your personal information on the following legal bases:

  • Performance of a Contract: When processing is necessary to provide you with our Services or to take steps you request before entering into a contract.
  • Legitimate Interests: When we process your information for our legitimate business interests, such as improving our Services, marketing, fraud prevention, and security, provided those interests are not overridden by your rights.
  • Legal Obligation: When we are required to process your information to comply with applicable law.
  • Consent: When you have given us your explicit consent to process your information for a specific purpose, such as receiving marketing communications. You may withdraw consent at any time.

HOW WE SHARE INFORMATION COLLECTED

We do not sell, rent, or trade your personal information to third parties for their own marketing purposes. We may share your personal information in the following circumstances:

  • Service Providers and Contractors: We share information with trusted third-party service providers who perform services on our behalf (e.g., hosting, analytics, customer support, payment processing). These parties are contractually obligated to handle your information securely and only as directed by us.
  • Affiliates and Subsidiaries: We may share information with our corporate family of companies for the purposes described in this Privacy Policy.
  • Business Transfers: If LabSymplified is involved in a merger, acquisition, sale of all or a portion of its assets, or other similar corporate transaction, your personal information may be transferred as part of that transaction. We will notify you by email and/or prominent notice on our Site before your information is transferred and becomes subject to a different privacy policy.
  • Legal Requirements: We may disclose your information if required by applicable law, regulation, legal process, or government request, or if we believe in good faith that disclosure is necessary to protect the rights, property, or safety of LabSymplified, our users, or others.
  • With Your Consent: We may share your information with third parties when you have given us your explicit consent to do so.

USING AND ACCESSING PERSONAL INFORMATION FOR SUPPORT

LabSymplified provides support services via telephone, email, and online channels. Support requests are collected and handled by our support personnel and may be shared internally or with authorized third-party support contractors in accordance with this Privacy Policy. LabSymplified retains records of support interactions for the purposes of improving service quality and resolving future issues.

DATA RETENTION

We retain your personal information for as long as necessary to fulfill the purposes for which it was collected, including to satisfy legal, accounting, or reporting obligations, or to resolve disputes.

  • Account data is retained for the duration of your account and for a reasonable period thereafter to comply with legal obligations and resolve disputes.
  • Transaction and billing records are retained as required by applicable law.
  • Analytics and usage data may be retained in anonymized or aggregated form indefinitely.
  • Marketing contact information is retained until you opt out or request deletion.

When we no longer need your personal information, we will securely delete or anonymize it.

Minor Donor registration records and associated parental or guardian consent records are retained for the period required by applicable blood banking regulations and applicable state law.

ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING

How We Use Your Data for AI

LabSymplified may offer AI-powered features and functionality within our Services ("AI Features"). We may use anonymized and aggregated data derived from your use of our Sites and Services to train, evaluate, and improve the AI and machine learning models that power our Services ("AI Improvement Data"). We will anonymize your data before using it for AI training purposes. We do not use raw, identifiable personal information or PHI for AI model training without your explicit consent.

AI Output

AI Features may generate content, summaries, recommendations, or other output ("AI Output") based on your inputs. You retain ownership of AI Output you generate, subject to the rights granted in our Terms of Use and applicable law. AI Output is not a substitute for professional advice.

Opt-Out of AI Training

You may opt out of having your data used for AI model training at any time by contacting us at privacy@labsymplified.com. This opt-out applies on a going-forward basis and will not affect data that has already been used in anonymized and aggregated form.

Third-Party AI Providers

We may use third-party AI model providers to power certain AI Features. These providers are bound by data processing agreements that restrict their use of your data to providing services to us. We do not permit these providers to train their AI models on your personal data.

YOUR PRIVACY RIGHTS

Depending on where you live, you may have certain rights regarding your personal information. We honor requests consistent with applicable law. Rights Available to All Users

  • Access: Request access to the personal information we hold about you.
  • Correction: Request that we correct inaccurate or incomplete information.
  • Deletion: Request that we delete your personal information, subject to certain exceptions.
  • Opt-Out of Marketing: Opt out of promotional emails by clicking "unsubscribe" or emailing privacy@labsymplified.com.

Rights for EEA / UK Residents (GDPR)

If you are located in the EEA or UK, you have additional rights under the GDPR or UK GDPR, including:

  • Right to Restriction of Processing: You may request that we restrict processing of your data under certain circumstances.
  • Right to Data Portability: You may request to receive your data in a structured, commonly used, machine-readable format.
  • Right to Object: You may object to our processing of your data based on legitimate interests or for direct marketing purposes.
  • Rights Related to Automated Decision-Making: You have the right not to be subject to a decision based solely on automated processing that significantly affects you.
  • Right to Withdraw Consent: Where processing is based on consent, you have the right to withdraw that consent at any time.

You also have the right to lodge a complaint with your local data protection supervisory authority.

Rights for California Residents (CCPA/CPRA)

  • Right to Know: Request information about the categories and specific pieces of personal information we have collected about you, the sources, the business purpose, and the categories of third parties with whom we shared it.
  • Right to Delete: Request deletion of your personal information, subject to certain exceptions.
  • Right to Correct: Request correction of inaccurate personal information.
  • Right to Opt-Out of Sale or Sharing: We do not sell your personal information for monetary consideration. We do not share your personal information for cross-context behavioral advertising.
  • Right to Limit Use of Sensitive Personal Information: Request that we limit our use of your sensitive personal information.
  • Right to Non-Discrimination: We will not discriminate against you for exercising your CCPA/CPRA rights.

LabSymplified does not sell personal information to third parties as defined under the CCPA/CPRA. To submit a request, contact us at privacy@labsymplified.com. We will verify your identity before processing your request. Authorized agents may submit requests on your behalf with your written permission.

Rights for Other U.S. State Residents

Residents of Virginia (VCDPA), Colorado (CPA), Connecticut (CTDPA), Texas (TDPSA), and other U.S. states with applicable privacy laws may have similar rights to access, correct, delete, and opt out of certain processing of their personal information. Please contact us at privacy@labsymplified.com to exercise your rights.

HOW WE PROTECT YOUR INFORMATION

LabSymplified and our service providers have implemented commercially reasonable physical, administrative, and technical safeguards designed to protect the information we collect from unauthorized access, use, disclosure, alteration, or destruction. These measures include encryption of data in transit and at rest, access controls, and regular security assessments.

However, no method of transmission over the internet or electronic storage is completely secure. Therefore, we cannot guarantee the absolute security of your information. If you become aware of any breach of security, please notify us immediately at support@labsymplified.com. In the event of a data breach that affects your personal information, we will notify you as required by applicable law.

INTERNATIONAL DATA TRANSFERS

Our Sites are hosted and operated in the United States. If you access our Sites from outside the United States, your information may be transferred to, stored, and processed in the United States or other countries where our service providers operate. These countries may have different privacy laws than your home jurisdiction.

For transfers of personal information from the EEA or UK to the United States or other countries not deemed to provide adequate protection, we rely on appropriate transfer mechanisms such as Standard Contractual Clauses (SCCs) approved by the European Commission, or other mechanisms recognized under applicable law.

By using our Sites, you acknowledge and consent to the transfer, storage, and processing of your information in the United States and other countries as described in this Privacy Policy.

CHILDREN'S PRIVACY

In general, our Sites and Services are not directed to children under the age of 18, and we do not knowingly collect personal information from individuals under 18 for the purpose of account creation or ongoing platform access.

Exception: Minor Donor Registration for Blood Centers

As an exception to the above, Blood Center Customers may use our Minor Donor Registration feature to collect limited registration information from prospective blood donors between the ages of 16 and 17, subject to verifiable parental or guardian consent as described in our Terms of Use. For this feature, each Blood Center Customer is the data controller for all Minor Donor Data collected through the feature, and LabSymplified processes that data solely as a data processor acting on the Blood Center Customer's behalf. Under this feature: (a) the information collected from Minor Donors is limited to name, date of birth, and the parent or guardian contact information necessary to request and record consent; (b) we do not collect health, medical, or blood-screening data from minors; (c) minors do not create login accounts or have ongoing access to the platform; and (d) Blood Center Customers are responsible for maintaining their own privacy notices that describe how Minor Donor Data is used, shared, and retained.

Parental and Guardian Rights Regarding Minor Data

Parents and legal guardians of Minor Donors have the following rights with respect to their child's information:

  • Right to Access: You may request access to the registration record and consent status we hold for your child.
  • Right to Correct: You may request correction of inaccurate information in your child's registration record.
  • Right to Withdraw Consent and Request Deletion: You may withdraw your consent at any time and request deletion of your child's registration record, subject to applicable legal retention requirements. Withdrawal will result in deactivation of the minor's record.
  • Non-Use of Minor Data for Marketing or AI Training: We do not use Minor Donor information for marketing communications, and Minor Donor data is excluded from AI model training.

Because Blood Center Customers are the data controllers for Minor Donor Data, data-subject rights requests relating to a minor's registration record must be directed to the Blood Center Customer that manages the registration. If you are unable to reach the Blood Center Customer or believe your request has not been fulfilled, you may contact LabSymplified at privacy@labsymplified.com. As a data processor, LabSymplified will act only on documented instructions from the applicable Blood Center Customer when fulfilling such requests.

General Minor Privacy Notice

Outside of the Minor Donor Registration feature, we do not knowingly collect personal information from individuals under 18. If you believe we have inadvertently collected information from a child outside of the above-described feature, please contact us at privacy@labsymplified.com and we will promptly investigate and delete such information as appropriate.

THIRD-PARTY ANALYTICS AND ADVERTISING

We may use third-party analytics providers (such as Google Analytics) to collect and analyze information about your use of our Sites. These providers may use cookies and similar technologies to collect information about your online activities over time and across different websites. This information is used to help us understand how users interact with our Sites and to improve our Services.

We may also display interest-based advertising through third-party advertising networks. These networks may collect information about your visits to our Sites and other websites to serve you relevant advertisements. You can opt out of interest-based advertising by visiting the Digital Advertising Alliance (DAA) or the Network Advertising Initiative (NAI).

CHANGES TO THIS PRIVACY POLICY

We may update this Privacy Policy from time to time to reflect changes in our practices, technologies, or applicable laws. For material changes, we will provide at least thirty (30) days' prior notice via email to the address associated with your account, or by posting a prominent notice on our Site, before the changes become effective. For non-material changes, we may update this Privacy Policy at any time.

We encourage you to review this Privacy Policy periodically. Your continued use of our Sites after any changes constitutes your acceptance of the updated Privacy Policy.
