TERMS OF USE

The following are the terms and conditions for use of the LabSymplified website and various other websites and apps operated by LabSymplified, Inc., a Delaware corporation, and to the extent applicable, any of its affiliates (collectively, “LabSymplified,” “we,” “us,” or “our”) in support of the LabSymplified business (individually, each a “Site,” and collectively, the “Sites”). These Terms of Use apply to the LabSymplified Sites.

The Sites are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Sites constitutes your agreement to all such terms, conditions, and notices. Your use of a particular Site may also be subject to additional terms, codes of conduct, or guidelines that govern use of those sites, including without limitation, particular features or offers of that Site, and any additional terms and conditions set forth on the Site (the “Additional Terms”).

If you are a customer of LabSymplified, your use of the LabSymplified platform and services (the “Services”) is governed by the LabSymplified SaaS Services Agreement between you and LabSymplified (the “SaaS Terms”). In the event of any conflict between these Terms of Use and the Additional Terms, these Terms of Use shall control. For customers of LabSymplified, in the event of any conflict between these Terms of Use and the SaaS Terms, the SaaS Terms shall control.

1. PRIVACY AND PROTECTION OF PERSONAL INFORMATION

Please see our Privacy Policy for disclosures relating to the collection and use of your personal information. Our Privacy Policy is incorporated into these Terms of Use by reference.

2. MODIFICATION OF THESE TERMS OF USE

LabSymplified reserves the right to change the terms, conditions, and notices under which the Sites are offered. For material changes, we will provide at least thirty (30) days’ prior notice via email to the address associated with your account, or by posting a prominent notice on our Site. For non-material changes, we may update these Terms at any time without prior notice. You are responsible for regularly reviewing these terms and conditions. Your continued use of the Sites after the effective date of any change constitutes your agreement to all such terms, conditions, and notices.

3. ELIGIBILITY

The Sites and Services are intended for use by individuals who are at least eighteen (18) years of age. By accessing or using our Sites, you represent and warrant that you are at least 18 years old and have the full legal authority to enter into these Terms of Use. If you are accessing or using the Sites on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms of Use.

4. MINOR DONOR REGISTRATION AND PARENTAL CONSENT

4.1 Blood Center Use of Minor Registration Features

LabSymplified customers that are blood centers or blood collection organizations (“Blood Center Customers”) may use the Services to manage parental or guardian consent on behalf of prospective blood donors between the ages of 16 and 17 (“Minor Donors”). Blood Center Customers bear sole responsibility for complying with all applicable federal, state, and local laws governing blood donation by minors, including without limitation FDA regulations (21 C.F.R. Parts 606 and 630), state blood banking statutes, and any institutional policies requiring parental or guardian consent.

With respect to all personal information collected through the Minor Donor Registration feature (“Minor Donor Data”), each Blood Center Customer acts as the data controller and is solely responsible for that data and for all obligations owed to Minor Donors and their parents or guardians. LabSymplified acts solely as a data processor with respect to Minor Donor Data, processing such data only on behalf of and under the documented instructions of the applicable Blood Center Customer.

4.2 Minor Donor Registration Flow

Minor Donors do not create login accounts with LabSymplified. Instead, a Minor Donor may initiate a registration by scanning a QR code provided by a Blood Center Customer and submitting a brief form containing: (a) the minor’s first and last name; (b) the minor’s date of birth; and (c) the name and email address of a parent or legal guardian. Upon submission, LabSymplified will transmit a consent request to the parent or guardian on behalf of the Blood Center Customer.

4.3 Parental and Guardian Consent

By providing electronic consent through the platform, a parent or legal guardian: (a) confirms they are the Minor Donor’s parent or legal guardian; (b) authorizes the Blood Center Customer to process the Minor Donor’s information for blood donation consent management purposes; (c) acknowledges that they have read and agree to these Terms of Use and the LabSymplified Privacy Policy on behalf of themselves and the Minor Donor; and (d) agrees that the Minor Donor’s registration information may be processed by LabSymplified as described in the Privacy Policy. A parent or guardian may withdraw consent at any time by contacting the Blood Center Customer.

4.4 Blood Center Customer Responsibilities

As data controllers for Minor Donor Data, Blood Center Customers are solely responsible for: (a) ensuring that the Minor Donor Registration feature is used only in compliance with applicable law, including FDA regulations and applicable state minor consent statutes; (b) ensuring that QR codes and registration forms are deployed only to individuals who are at least 16 years of age; (c) maintaining and providing any additional consent disclosures required by applicable law beyond those collected through the platform; (d) verifying the identity and parental or guardian relationship of consenting individuals, to the extent required by applicable law; (e) retaining records of consent for the period required by applicable regulations; (f) maintaining a privacy notice that accurately describes how Minor Donor Data is collected, used, and shared; (g) responding to all access, correction, deletion, and other data-subject requests made by Minor Donors or their parents or guardians, and cooperating with LabSymplified as needed to fulfill such requests; and (h) ensuring that any onward transfer or disclosure of Minor Donor Data complies with applicable data protection law.

4.5 LabSymplified’s Role as Technology Platform

LabSymplified provides the Minor Donor Registration feature solely as a technology platform and acts exclusively as a data processor with respect to Minor Donor Data. LabSymplified processes Minor Donor Data only as instructed by the applicable Blood Center Customer and does not independently determine the purposes or means of processing such data. LabSymplified does not independently verify the age of Minor Donors, the identity of parents or guardians, or the legal sufficiency of any consent collected, and does not determine the eligibility of any individual to donate blood. All such determinations remain the sole responsibility of the Blood Center Customer as data controller.

LabSymplified shall not be liable to any Minor Donor, parent, guardian, or third party for any claim arising from: (a) a Blood Center Customer’s failure to comply with applicable laws governing minor blood donation consent; (b) the content, accuracy, or legal sufficiency of any consent form or disclosure provided by a Blood Center Customer; or (c) any action or omission of a Blood Center Customer in its capacity as data controller.

5. PERSONAL AND NON-COMMERCIAL USE; INTELLECTUAL PROPERTY RIGHTS

The content available and any Services made available through the Sites is the property of LabSymplified or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not modify, copy, upload, download, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Sites.

You acknowledge that LabSymplified retains exclusive ownership (or is the licensee) of the Sites, all content, materials, and information contained therein, and all intellectual property rights associated therewith. Except as expressly provided herein, you are not granted any rights or license to patents, copyrights, trademarks, or trade secrets with respect to the Sites or their contents, and LabSymplified reserves all rights not expressly granted hereunder.

Without the advance express written permission of an authorized representative of LabSymplified, you may not “meta-search” the Sites, send, or cause to be sent, any automated queries of any sort to the Sites, or use the Sites in any commercial manner.

6. LINKS TO THIRD-PARTY SITES

The Sites may contain links to third-party websites (“Linked Sites”) including, but not limited to, links to relevant portions of third-party social media sites. The Linked Sites are not under the control of LabSymplified, and LabSymplified is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. LabSymplified is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by LabSymplified of the site or any association with its operators.

You are responsible for reviewing and abiding by the privacy policies and terms of use posted at the Linked Sites. Any dealings with third-parties (including advertisers) included within the Sites or participation in promotions are solely between you and the advertiser or other third-party. LabSymplified shall not be responsible or liable for any part of any such dealings or promotions.

7. ACCEPTABLE USE POLICY

As a condition of your use of the Sites, you agree not to use the Sites for any purpose that is unlawful or prohibited by these Terms of Use. Without limiting the foregoing, you agree not to:

  • Use the Sites in any manner that could damage, disable, overburden, or impair any Sites or the networks connected to any Site;
  • Interfere with any other party’s use and enjoyment of any Sites;
  • Attempt to gain unauthorized access to any Sites, other accounts, computer systems, or networks connected to any Sites, through hacking, password mining, credential stuffing, or any other means;
  • Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Sites;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Sites or Services;
  • Use the Sites for any commercial purpose or for the benefit of any third party unless expressly authorized by LabSymplified in writing;
  • Transmit any viruses, malware, trojan horses, ransomware, or other harmful or malicious code;
  • Engage in scraping, data mining, or systematic extraction of data from the Sites;
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity;
  • Collect or harvest personally identifiable information about other users of the Sites without their explicit consent;
  • Use the Sites to transmit unsolicited commercial communications (spam);
  • Use the Sites in violation of any applicable local, state, national, or international laws or regulations.

8. ARTIFICIAL INTELLIGENCE FEATURES

8.1 AI Services

LabSymplified may offer features and functionalities that incorporate artificial intelligence (“AI”) or machine learning technologies, including generative AI models (collectively, “AI Features”). Use of AI Features is subject to these Terms of Use and any additional terms presented at the time of use.

8.2 AI Output Ownership

As between you and LabSymplified, you own the output generated by the AI Features from your use (“AI Output”), subject to: (a) the rights granted to LabSymplified described in Section 8.3; (b) applicable law; and (c) any third-party intellectual property rights. You are solely responsible for evaluating and determining whether AI Output is appropriate for your intended use.

8.3 Use of Data for AI Improvement

Subject to your opt-out rights described in Section 8.4, you grant LabSymplified a non-exclusive, worldwide, royalty-free license to use anonymized and aggregated data derived from your use of the AI Features (“AI Improvement Data”) to improve, optimize, and train AI models incorporated into the Services. LabSymplified will anonymize such data before use. LabSymplified exclusively owns all AI Improvement Data and any improvements to AI models derived therefrom.

8.4 Opt-Out Rights

You may opt out of having your data used for AI model training at any time by contacting LabSymplified at privacy@labsymplified.com. Opting out applies on a going-forward basis and does not affect data already used. Opting out will not affect your ability to use the AI Features.

8.5 AI Prohibited Uses

In addition to the acceptable use restrictions in Section 7, you agree not to use the AI Features to:

  • Automate legal or consequential decision-making processes that affect individuals without human review of the output;
  • Generate individualized medical, legal, financial, or psychological advice to individuals without qualified professional oversight and review;
  • Explicitly categorize individuals based on protected characteristics including race, ethnicity, religion, health status, disability, sexual orientation, or gender identity in a manner that could cause harm or that violates applicable law;
  • Engage in deceptive, manipulative, or fraudulent practices, including generating misinformation or synthetic media designed to deceive;
  • Conduct activities that would be considered high-risk AI applications under the EU AI Act or analogous applicable laws;
  • Generate content that infringes any third party’s intellectual property rights;
  • Circumvent content filters or safety measures built into the AI Features.

8.6 AI Disclaimer

AI OUTPUT IS GENERATED BY AUTOMATED SYSTEMS AND MAY BE INACCURATE, INCOMPLETE, OUTDATED, OR OTHERWISE UNRELIABLE. AI OUTPUT DOES NOT CONSTITUTE MEDICAL, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EVALUATING, AND VERIFYING AI OUTPUT BEFORE RELYING UPON IT. AI OUTPUT MAY NOT BE UNIQUE, AND THE AI FEATURES MAY GENERATE THE SAME OR SIMILAR OUTPUT FOR OTHER USERS. LABSYMPLIFIED MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING AI OUTPUT OR AI FEATURES, AND SHALL NOT BE LIABLE FOR ANY CLAIM ARISING FROM OR RELATED TO YOUR USE OF OR RELIANCE ON AI OUTPUT.

9. COMMUNITY FEATURES

LabSymplified may offer opportunities for you to transmit messages, information, ideas, opinions, images, audio, video, creative works, or other content (collectively, “Submitted Content”) in connection with various features of the Sites (collectively, “Community Features”). You are solely responsible for your Submitted Content and must use the Community Features in a responsible manner.

In order to participate in Community Features, you may be asked to register an account by providing certain personal information. In consideration of your use of the Sites, you agree to: (i) provide accurate, current, and complete information about yourself; (ii) maintain the security of your password and identification; (iii) promptly update your information to keep it accurate and complete; (iv) not sell, transfer, or assign your account; and (v) be fully responsible for all use of your account.

By submitting Submitted Content via the Community Features, you grant LabSymplified a worldwide, perpetual, royalty-free, non-exclusive, sublicensable, and irrevocable right and license to use, reproduce, prepare derivative works based upon, distribute, perform, and display your Submitted Content for the purpose of operating and improving the Sites and Services.

LabSymplified reserves the right to remove any Submitted Content and to suspend or terminate your access to Community Features if, in LabSymplified’s sole discretion, you have violated these Terms of Use or applicable law.

10. EXPORT CONTROLS AND SANCTIONS

The Sites and Services are subject to United States export laws and regulations. You may not access or use the Sites or Services: (a) from a jurisdiction subject to a United States government embargo; (b) from a jurisdiction designated by the United States government as a “terrorist-supporting” country; (c) if you are on any United States government list of prohibited or restricted parties, including the Specially Designated Nationals list; or (d) in violation of any other applicable export or sanctions restrictions. By using the Sites, you represent and warrant that you are not located in any such jurisdiction and are not on any such list.

11. INDEMNIFICATION

You hereby agree to indemnify, defend, and hold harmless LabSymplified and all LabSymplified Entities from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (A) your use of the LabSymplified Sites and the products and/or services purchased via the LabSymplified Sites; (B) any alleged breach of these Terms of Use by you; (C) your Submitted Content; or (D) your violation of any third-party rights, including intellectual property rights.

“LabSymplified Entities” means LabSymplified, Inc. and any parent, subsidiary, affiliated and related persons and entities, and all of the officers, directors, shareholders, members, managers, employees, contractors, attorneys, and agents of each of the foregoing.

12. LIABILITY DISCLAIMER

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE LABSYMPLIFIED SITES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. LABSYMPLIFIED AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED WITHIN THE LABSYMPLIFIED SITES FOR ANY PURPOSE. ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LABSYMPLIFIED AND/OR ITS RESPECTIVE SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL THE LABSYMPLIFIED ENTITIES AND/OR THEIR EMPLOYEES, PARENTS, SUBSIDIARIES, CONTRACTORS, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE LABSYMPLIFIED SITES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF THE LABSYMPLIFIED ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

LABSYMPLIFIED MAKES NO WARRANTY THAT ANY LABSYMPLIFIED SITE OR SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. THIS INCLUDES, WITHOUT LIMITATION, AI FEATURES AND AI OUTPUT, WHICH ARE PROVIDED “AS IS” WITH NO WARRANTY OF ACCURACY, FITNESS, OR SUITABILITY FOR ANY PARTICULAR PURPOSE.

13. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ SECTIONS 13.2 AND 13.3 CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

13.1 Informal Resolution

Before filing any formal dispute, you agree to first contact LabSymplified at legal@labsymplified.com and provide a written description of your claim and the relief you are seeking. We will attempt to resolve the dispute informally within thirty (30) days. If we cannot resolve the dispute informally, you or LabSymplified may pursue formal dispute resolution as described below.

13.2 Binding Arbitration

Except for claims described in Section 13.4, you and LabSymplified agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use or the use of the Sites (a “Dispute”) shall be resolved exclusively through binding individual arbitration, rather than in court. The arbitration will be administered by JAMS under its applicable rules, and the arbitrator shall have exclusive authority to resolve any Dispute. The Federal Arbitration Act governs the interpretation and enforcement of this section.

13.3 Class Action Waiver

YOU AND LABSYMPLIFIED EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court, or seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14. GENERAL PROVISIONS

Governing Law. These Terms of Use are governed by the laws of the State of Illinois, U.S.A., without regard to its conflict of law principles. To the extent that arbitration does not apply under Section 13, you hereby irrevocably consent to the exclusive jurisdiction and venue of courts in DuPage County, Illinois, U.S.A., in all disputes arising out of or relating to the use of the LabSymplified Sites.

Severability. If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable law, that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Agreement shall continue in effect.

Entire Agreement. These Terms of Use constitute the entire agreement between the user and LabSymplified with respect to the LabSymplified Sites and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

No Waiver. No waiver of any breach of any provision of these Terms of Use shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.

Relationship of Parties. No joint venture, partnership, employment, or agency relationship exists between you and LabSymplified as a result of these Terms of Use or use of the LabSymplified Sites.

Compliance with Law. LabSymplified reserves the right to disclose any personal information about you or your use of the LabSymplified Sites without your prior permission if LabSymplified has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of the LabSymplified Entities; (3) enforce these Terms of Use; or (4) protect the interests of its users, partners, and affiliates.

Electronic Communications. A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent as other business documents and records originally generated and maintained in printed form.

15. ACKNOWLEDGEMENT

BY ACCESSING THE LABSYMPLIFIED SITES AND/OR UTILIZING ANY LABSYMPLIFIED SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MUST NOT USE THE SITES OR SERVICES.
